Section 8 Company Registration for NGOs and Non-Profit Organisations

If you are planning to work in education, healthcare, charity, social welfare or community development, choosing the right legal structure is an important first step. A Section 8 Company can provide a formal framework for carrying out eligible non-profit activities in India.

At LEGALLY, we assist with the incorporation process, document preparation and filing requirements so you can focus on building your organisation and planning its activities.

What Is a Section 8 Company?

A Section 8 Company is incorporated under the Companies Act, 2013, for eligible objectives such as promoting education, science, art, sports, social welfare, charity, research, environmental protection and similar purposes.

Its income and profits must be applied towards its approved objectives. The company cannot distribute dividends to its members. This makes it different from an ordinary profit-distributing company.

A Section 8 Company can be suitable for founders who want to establish a structured non-profit organisation with formal governance and statutory reporting responsibilities.

Who Can Consider a Section 8 Company?

This structure may be suitable for people planning to establish:

  • Educational and skill-development initiatives
  • Healthcare and community-welfare projects
  • Charitable foundations
  • Research and environmental initiatives
  • Social-development and livelihood programmes
  • Other eligible non-profit activities

The proposed objectives must meet the requirements of Section 8 and applicable MCA rules. Registration does not automatically provide income-tax exemption, donor tax benefits or eligibility to receive foreign contributions.

How the Registration Process Works

Step 1 — Understand your objectives: We discuss your proposed activities, beneficiaries and organisational plans.

Step 2 — Review the structure and name: The proposed name and objectives are checked for suitability under the applicable requirements.

Step 3 — Collect the documents: We help organise the founder, director, subscriber and registered-office documents.

Step 4 — Prepare incorporation papers: The MoA, AoA, declarations and required financial projections are prepared according to the agreed scope.

Step 5 — File the MCA application: The applicable incorporation forms and Section 8 licence application are submitted through the prescribed MCA process.

Step 6 — Respond to queries: If the authority requests clarification or changes, further documentation or resubmission may be required.

Step 7 — Receive incorporation documents: Following approval, the Certificate of Incorporation and available registration details are shared with you.

What About 12A, 80G and CSR Registration?

Incorporating a Section 8 Company does not automatically grant every tax benefit or funding eligibility.

Depending on your objectives and plans, you may separately need to consider:

  • 12AB registration: Relevant to eligibility for specified income-tax exemptions, subject to applicable conditions.
  • 80G approval: Relevant to eligible donor deductions, subject to the applicable rules and approval.
  • CSR-1 registration: Relevant when an organisation seeks to act as an eligible implementing agency for CSR projects.
  • FCRA registration or prior permission: Relevant when receiving foreign contributions, where required by law.

These are separate compliance matters and are not included in the basic incorporation service unless expressly agreed.

Fees and Timeline

Professional fees depend on the documentation, complexity of the proposed objectives and services included in the package. Government charges, state stamp duty, DSCs and other third-party expenses may be additional unless your written quotation states otherwise.

The timeline depends on document readiness, name availability, the proposed objectives and MCA processing. Additional queries may extend the process.

Why Plan Your Registration Carefully?

A non-profit organisation needs more than an incorporation certificate. Clear objectives, suitable governance documents, proper financial records and ongoing compliance help create a sound foundation for its work.

LEGALLY assists with the agreed incorporation requirements. Approval, tax benefits, donor eligibility and funding outcomes depend on the relevant authorities and applicable law and cannot be guaranteed.
