Register Your LLP with Confidence
Starting a business with a partner means making decisions about ownership, responsibilities, profit sharing and future growth. A Limited Liability Partnership (LLP) offers a formal business structure that combines partnership-style flexibility with the benefits of a separate legal entity.
At LEGALLY, we help you navigate the LLP registration process, organise the required documents and prepare the application for filing with the Ministry of Corporate Affairs (MCA).
What Is an LLP?
An LLP is a separate legal entity registered under the Limited Liability Partnership Act, 2008. It can be suitable for consultants, professional service providers, small businesses and entrepreneurs who want to work together under a formal arrangement.
Partners can define their respective contributions, responsibilities and profit-sharing arrangements through an LLP Agreement. Limited liability generally protects partners from personal responsibility for the LLP's obligations, subject to applicable law and exceptions, including liability arising from a partner's own wrongful acts.

How the Registration Process Works
Step 1 — Understand your requirements: We discuss your business activity, proposed name, partners and contribution.
Step 2 — Organise documents: We help collect the required partner and registered-office information.
Step 3 — Digital signatures: We assist with the DSC requirements for the relevant signatories.
Step 4 — Prepare the application: The applicable incorporation documents and MCA forms are prepared using the information you provide.
Step 5 — Submit and follow up: The application is submitted through the applicable MCA process. If the Registrar requests clarification or resubmission, further action may be required.
Step 6 — Prepare the LLP Agreement: The agreement is prepared according to the agreed scope, including provisions for contributions, responsibilities and profit sharing.
Step 7 — Complete the agreement filing: The LLP Agreement must be executed and filed within the applicable statutory period. Under the usual process, Form 3 is filed within 30 days of incorporation.
Step 8 — Receive your documents: Once the relevant filings are completed, the available incorporation records and registration details are handed over.
Is an LLP Right for Your Business?
An LLP may be a practical choice if two or more partners want to operate a business together without adopting the conventional company structure.
Before deciding, consider how you plan to share profits, make decisions, admit new partners and manage future changes. If you intend to raise equity investment or issue shares, a Private Limited Company may be more appropriate.
An LLP also has ongoing annual filing, accounting and other compliance responsibilities. Registration is the beginning of the process, not the end of your obligations.
Fees and Timeline
Professional fees depend on the scope of assistance, number of partners, documentation and complexity of the application. Government filing fees, state stamp duty on the LLP Agreement, DSC charges and other third-party costs may be additional unless expressly included in your written quotation.
The expected timeline depends on document readiness, name availability, government processing and whether corrections are required.
LEGALLY assists with the registration process within the agreed scope. MCA approval and completion dates depend on the relevant authority and cannot be guaranteed.
