Start Your Business with a One Person Company
Want to run a company on your own without bringing in another shareholder? A One Person Company (OPC) may be a suitable option. It allows one eligible individual to own the company while operating through a separate legal entity.
At LEGALLY, we help you understand the registration process, organise the required documents and prepare the incorporation application for filing with the Ministry of Corporate Affairs (MCA).
What Is a One Person Company?
An OPC is a form of private company under the Companies Act, 2013, with one member. It can suit an individual who wants a formal company structure while retaining sole ownership.
The company has its own legal identity, and limited liability generally helps separate the member's personal assets from company liabilities, subject to applicable law and exceptions.

Step 2 — Document collection: We help you organise the member's, nominee's and registered office's documents.
Step 3 — Name and filing preparation: The proposed name and incorporation documents are prepared for the applicable MCA process.
Step 4 — Application submission: The required forms are filed after the necessary information, declarations and signatures are completed.
Step 5 — MCA review: The application is reviewed by the relevant authority. If clarification or resubmission is requested, further action may be necessary.
Step 6 — Incorporation documents: Once approved, the Certificate of Incorporation and applicable registration details are shared with you.
Is an OPC Right for You?
An OPC may be worth considering if you want to start a company with one member and do not currently need multiple shareholders. If you expect to bring in investors or co-founders, compare it with a Private Limited Company before deciding.
An OPC also has ongoing filing, accounting and compliance responsibilities after incorporation. Registration is only the first step in running the company properly.
Important Information
The proposed name, eligibility, documents and filing requirements are subject to applicable law and MCA approval. Registration timelines can vary depending on document readiness, name availability, government processing and resubmission requirements.
Government fees, stamp duty, DSC charges and other third-party expenses may be additional unless expressly included in your written quotation.
LEGALLY provides registration assistance within the agreed scope. No approval, fixed completion date or particular outcome can be guaranteed.
