Nidhi Company Registration in India
A Nidhi Company is designed for a specific purpose: encouraging savings among its members and providing financial assistance to those members under the applicable rules. It is not a general-purpose finance company, and its activities are subject to specific restrictions.
If you are considering this structure, it is important to understand the incorporation requirements, capital commitments and post-registration obligations before you begin.
At LEGALLY, we help you understand the registration process, organise the required documents and prepare the applicable filings with the Ministry of Corporate Affairs (MCA).
What Is a Nidhi Company?
A Nidhi Company is a public company governed by Section 406 of the Companies Act, 2013 and the Nidhi Rules, 2014, as amended. Its principal purpose is to encourage thrift and savings among its members and to receive deposits from and lend to its members for their mutual benefit, subject to applicable law.
A company incorporated with the intention of operating as a Nidhi must meet the prescribed conditions and obtain the required Central Government declaration before functioning as a recognised Nidhi.
Important Eligibility and Compliance Requirements
Under the applicable Nidhi framework, requirements include:
- Incorporation as a public company with the prescribed name ending in “Nidhi Limited”
- Compliance with the applicable minimum capital requirement
- At least three directors and the required number of subscribers for a public company
- Meeting the prescribed membership and Net Owned Funds requirements
- Filing the applicable declaration application in Form NDH-4
- Compliance with deposit, lending, record-keeping and statutory filing rules
For companies incorporated under the current framework, the prescribed requirements include reaching at least 200 members and Net Owned Funds of ₹20 lakh within the applicable 120-day period. Eligibility, deadlines and any applicable amendments must be verified for the specific company before filing.
Important: Incorporation alone does not establish that a company has been declared as a Nidhi. Do not accept deposits or conduct Nidhi activities unless the applicable legal requirements have been satisfied.

How the Process Works
Step 1 — Initial discussion: We review your proposed activities, promoters and readiness to meet the applicable requirements.
Step 2 — Feasibility review: We discuss capital, membership targets, documentation and the responsibilities involved in operating a Nidhi.
Step 3 — Incorporation documents: The proposed name, MoA, AoA and applicable forms are prepared for submission.
Step 4 — MCA incorporation filing: The public company incorporation application is submitted with the required information and supporting documents.
Step 5 — Post-incorporation preparation: The company must complete the applicable initial formalities and work towards meeting the prescribed membership and Net Owned Funds requirements.
Step 6 — NDH-4 declaration application: The application and supporting documents are prepared and filed in accordance with the applicable rules and deadline.
Step 7 — Ongoing compliance: The company must meet its continuing obligations, including applicable returns, financial records and restrictions on deposits and loans.
The process may require additional time if documents are incomplete, membership or financial requirements are not met, or the authority raises queries.
Costs and Capital Requirements
Professional fees depend on whether the package covers incorporation only or also includes NDH-4 filing assistance and post-incorporation support.
Government filing charges, stamp duty, DSC charges, professional certification and other third-party expenses may be additional unless expressly included in the written quotation.
The prescribed share capital and Net Owned Funds are company funds, not professional fees. They must not be presented to customers as registration charges.
